1. Agreement to These Terms

These Terms of Service (“Terms”) govern your access to and use of salazargroupcapital.com

(the “Site”) and any services, applications, forms, or communications provided by The Salazar Group Capital (“Salazar Group Capital,” “we,” “us,” or “our”).

By accessing the Site, submitting an application or inquiry, or otherwise using our services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site or submit an application.

2. Who We Are — Important Disclosure

Salazar Group Capital is an independent sales organization (ISO) that arranges business financing through a network of third-party lenders and funding partners.

WE ARE NOT A LENDER. We do not:

make credit decisions;

set interest rates, fees, advance amounts, or repayment terms; underwrite, approve, or decline applications; fund transactions or advance our own capital.

All credit decisions are made solely by the third-party lender or funder. Any financing you receive is a transaction between you and that lender or funder, governed by their agreements — not by these Terms.

Our role is to help you prepare and organize your application materials and present your file to lenders in our network.

3. No Guarantee of Approval or Terms

Submitting an application, inquiry, or documents to us does not guarantee approval, funding, or any particular outcome.

We make no representation, promise, or guarantee regarding:

whether any lender will approve your application; the amount of financing, if any, that may be offered; interest rates, fees, factor rates, repayment terms, or structure; how long any process will take, or when funds may be disbursed.

No offer exists unless and until a lender or funder issues you a written offer that you accept. Any figures referenced on the Site or in our materials — including published program maximums such as SBA program limits — describe the program generally and are not offers, commitments, or representations of what you may qualify for.

4. How We Are Compensated

We may receive compensation from a lender or funding partner in connection with financing you accept. Compensation arrangements vary by partner and product.

5. Eligibility

To use our services, you represent and warrant that you:

are at least 18 years of age;

are seeking financing for commercial or business purposes only — our services are not offered for personal, family, or household purposes;

own, operate, or are duly authorized to act on behalf of the business named in your application, and have authority to bind that business; are located in the United States; will provide information that is true, accurate, current, and complete.

6. Applications, Information, and Documents

When you submit an application or provide documents, you agree that:

  • All information and documents you provide are true, accurate, and complete to the best of your knowledge, and you will promptly notify us of any material change.
  • You authorize us to share your application and supporting documents with lenders, funding partners, and their respective agents and service providers for the purpose of obtaining financing options for your business.
  • You authorize us and our funding partners to obtain business and consumer credit reports and related information in connection with your application, subject to the separate authorization you provide at the time of application. You understand our initial review is a soft inquiry that does not affect your credit score, and that a lender may separately request your authorization for a hard inquiry before issuing an offer.
  • We and our funding partners will rely on the accuracy and completeness of the information you provide.
  • You are responsible for maintaining copies of everything you submit.

7. Financial Preparation Services

Where we assist in organizing or preparing financial statements, schedules, or supporting documentation for your application, that work is performed from records and information you provide. We do not audit, verify, or attest to the accuracy of your underlying records, and we do not perform an audit, review, or compilation engagement as those terms are defined under professional accounting standards unless separately engaged in writing to do so.

You remain responsible for the accuracy and completeness of your own financial records.

8. Electronic Communications and Signatures

By using the Site or submitting an application, you consent to receive communications from us electronically, and you agree that electronic communications, agreements, and signatures satisfy any legal requirement that such communications be in writing.

You agree that your electronic signature is legally binding and equivalent to a handwritten signature. You may withdraw this consent or request paper copies by contacting us at 786953-8620.

Calls and text messages. If you separately consent, we may contact you by telephone and SMS, including by automated means. That consent is optional and is not a condition of receiving any service. You may revoke it at any time by replying STOP to a text message, emailing info@salazargroupcapital.com, or calling 786-953-8620. Message and data rates may apply; message frequency varies.

9. Third-Party Lenders and Partners

Our network includes independent third-party lenders, funders, banks, credit unions, and service providers. We do not control them and are not responsible for:

their credit decisions, underwriting criteria, rates, fees, or terms; their agreements, disclosures, servicing, collection practices, or conduct; their privacy or data-security practices; any dispute between you and any lender or funder.

Any financing agreement you enter into is solely between you and that lender or funder. Read every agreement carefully before signing. We encourage you to consult your own attorney and accountant before accepting any financing.

10. Site Content and Intellectual Property

All content on the Site — including text, graphics, logos, the Salazar Group Capital name and marks, layout, and software — is owned by or licensed to us and protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works without our prior written permission.

Content on the Site is provided for general informational purposes only and does not constitute financial, tax, legal, accounting, or investment advice. Nothing on the Site creates a professional or fiduciary relationship.

11. Acceptable Use

You agree not to:  submit false, fraudulent, or misleading information, or impersonate any person or entity;

submit an application on behalf of a business without authority to do so; use the Site for any unlawful purpose or in violation of any applicable law; attempt to gain unauthorized access to the Site, our systems, or other users’ information;

introduce malware, or use bots, scrapers, or automated means to access the Site; interfere with or disrupt the Site’s operation or security; use the Site or our services for personal, family, or household financing purposes.

We may refuse service, suspend access, or decline to submit any application at our discretion.

12. Third-Party Links

The Site may link to third-party websites, including our affiliated companies and lender partners. We provide those links for convenience and do not endorse or assume responsibility for their content, products, or practices. Your use of any third-party site is at your own risk and governed by that site’s terms.

13. Disclaimers

THE SITE AND OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,”

WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including implied

warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that information on the Site is accurate, complete, or current. Program details, lender criteria, and available products change frequently and without notice.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Salazar Group Capital and its

officers, members, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunity, or loss of data, arising out of or relating to your use of the Site or our services — whether based in contract, tort, negligence, strict liability, or otherwise, and even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms, the Site, or our services will not exceed the greater of (a) the total amount you paid us directly in the twelve

(12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Salazar Group Capital and its officers, members, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) information or documents you submit; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any dispute between you and a lender or funding partner.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-oflaws principles.

Any dispute arising out of or relating to these Terms or our services will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.

17. Changes to These Terms

We may update these Terms at any time. Changes take effect when posted, and we will update the “Last Updated” date. Your continued use of the Site after changes are posted constitutes acceptance. Please review these Terms periodically.

18. Termination

We may suspend or terminate your access to the Site or our services at any time, with or without notice, for any reason, including violation of these Terms. Sections 3, 9, 10, 13, 14, 15, and 16 survive termination.

19. Severability and Entire Agreement

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions remain in full force.

These Terms, together with our Privacy Policy and any authorization you sign in connection with an application, constitute the entire agreement between you and Salazar Group Capital regarding the Site and our services. Our failure to enforce any provision is not a waiver of it.
